Welcome to Trackion! These Terms of Service ("Terms") are a binding legal agreement between you, the Customer ("Customer," "you," or "your"), and Evolwork Inc. (doing business as Trackion, "Company," "we," "us," or "our"). This Agreement governs your access to and use of the Trackion productivity tracking software, the trackion.com website, and any related services (collectively, the "Service").

Please read these Terms carefully. By clicking "I Agree," signing up for an account, or using the Service, you are representing that you have the authority to bind the Customer to these Terms and that you agree to be bound by them.

Our Commitment & A Plain-English Summary

This is a legal document, but we want it to be clear. Our business is built on trust and empowering teams. Our commitment to you is:

  • You (the Customer) Own Your Data. We are a processor, not an owner, of your data.
  • We Will Be Transparent. We will be clear about our data practices (see our Privacy Policy).
  • We Will Be Secure. We will use industry-standard safeguards to protect your data.
  • We Will Not Sell Your Data. We will never sell your data to third-party marketers.

In return, you (the Customer) agree to:

  • Comply With All Laws. You will use Trackion in full compliance with all applicable labor, privacy, and monitoring laws.
  • Respect Your Team. You will be transparent with your team and obtain all necessary consents for using a productivity tracking tool.
  • Pay For the Service. You will pay for your subscription on time as outlined in our pricing.

1. Definitions

  • "Customer" means the organization (e.g., your company) that signs up to use the Service.
  • "End User" means an individual (e.g., your employee or contractor) who is authorized by the Customer to use the Service.
  • "Customer Data" means all electronic data or information submitted by the Customer or its End Users to the Service.
  • "Service" means the Trackion productivity tracking platform and any related services provided by us.

2. The Service

Trackion provides a software service designed to help organizations measure and analyze team productivity, manage time and attendance, and optimize workflows. As part of the Evolwork suite, it may integrate with other services like Clocin (attendance) and SimpliPay (payroll).

The Customer is the "Data Controller" of the Customer Data. Trackion is the "Data Processor." We will only process Customer Data in accordance with this Agreement and the Customer's lawful instructions.

3. Customer Responsibilities & Acceptable Use

This is a critical section. You are responsible for how you and your End Users use the Service.

  • Legal Compliance: The Customer agrees to comply with all applicable laws, regulations, and ordinances regarding the use of the Service. This includes, but is not limited to, laws related to privacy, data protection, labor and employment, and employee monitoring.
  • End User Consent: The Customer is solely responsible for ensuring it has provided all necessary notices and obtained all required consents from its End Users before they use the Service. This includes informing End Users about the data being collected and how it will be used.
  • Ethical Use: You agree not to use the Service for any unlawful, invasive, or discriminatory purpose. Trackion is an ethical monitoring solution and is not intended for invasive surveillance.
  • Account Security: The Customer is responsible for maintaining the confidentiality of its account, passwords, and access credentials, and for all activities that occur under its account.

You agree not to (and not to permit any End User to):

  • Reverse engineer, decompile, or otherwise attempt to discover the source code of the Service.
  • Use the Service to upload, store, or transmit any viruses, malware, or other malicious code.
  • Use the Service to violate the privacy or legal rights of any third party.
  • Resell, lease, or sublicense the Service without our express written permission.

4. Subscription, Billing, and Payment

  • Plans & Free Trials: We offer various subscription plans, including free trials. Features and pricing are as described on our Pricing Page. At the end of a free trial, you must subscribe to a paid plan to continue using the Service.
  • Billing: Subscriptions are billed in advance on a monthly or annual basis ("Billing Cycle").
  • Auto-Renewal: Your subscription will automatically renew at the end of each Billing Cycle unless you cancel it through your account's billing portal or by contacting our support team.
  • Payment: You agree to provide accurate and complete billing information. We use a secure third-party payment processor (e.g., Stripe) to handle all payments.
  • Price Changes: We reserve the right to change our pricing, but we will provide you with at least 30 days' notice before any price changes take effect.

5. Term & Termination

  • Term: This Agreement begins when you sign up for the Service and continues as long as you have an active subscription.
  • Termination by You: You may cancel your subscription at any time. The cancellation will take effect at the end of the current Billing Cycle, and you will not be charged for the next cycle.
  • Termination by Us: We may suspend or terminate your account and access to the Service if you (a) breach these Terms (especially for non-payment or violation of Section 3), (b) are required to by law, or (c) we decide to cease offering the Service (with reasonable notice).
  • Effect of Termination: Upon termination, your right to use the Service will cease. We will provide you with a reasonable opportunity to export your Customer Data. After a commercially reasonable period (e.g., 90 days), we will securely delete your Customer Data from our systems.

6. Data, Privacy, and Intellectual Property

  • Your Data is Yours: As between you and us, you own all rights, title, and interest in and to your Customer Data. You grant us a limited, non-exclusive, worldwide, royalty-free license to use, copy, display, and process your Customer Data only for the purpose of operating, maintaining, and improving the Service.
  • Our Privacy Policy: Our data collection and use practices are described in detail in our Privacy Policy, which is incorporated by reference into these Terms. By agreeing to these Terms, you also agree to our Privacy Policy.
  • Our Service is Ours: We (Evolwork Inc.) own all rights, title, and interest in and to the Service, including all software, logos, trademarks, and website content (our "Intellectual Property"). You are granted a limited, non-exclusive, non-transferable license to use the Service during your subscription term, but you do not acquire any ownership rights.

7. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL EVOLWORK INC. (OR ITS DIRECTORS, EMPLOYEES, OR AGENTS) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THIS AGREEMENT OR THE SERVICE WILL BE LIMITED TO THE TOTAL AMOUNT OF FEES YOU HAVE PAID TO US FOR THE SERVICE IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

This is another critical section.

The Customer agrees to defend, indemnify, and hold harmless Evolwork Inc. (and its officers, directors, employees, and agents) from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your (or your End Users') use of the Service.
  • Your breach of these Terms.
  • Your violation of any applicable law or regulation (including, without limitation, any labor or privacy laws).
  • Any claim by one of your End Users or a third party related to your use of the Service (including claims of privacy violation or unlawful monitoring).

10. General Provisions

  • Governing Law: This Agreement will be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles.
  • Changes to Terms: We may modify these Terms from time to time. If we make material changes, we will provide you with at least 30 days' notice (e.g., by email or an in-app notification). Your continued use of the Service after the changes take effect constitutes your acceptance of the new Terms.
  • Entire Agreement: These Terms (including the Privacy Policy) constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.
